解除合同通知書

致：Fascinations Inc.

東莞市微石塑膠金屬科技有限公司（以下簡稱我司）與Fascinations Inc.于2016年11月20日簽署《TRADEMARK LICENSE AGREEMENT》，就我司授權Fascinations Inc.使用“Piececool”商標事宜進行了約定。根據合同約定，Fascinations Inc.享有獨家、有償的在不包括中國范圍內的世界范圍有權使用“Piececool”商標，但合同簽署至今，Fascinations Inc.未向我司采購任何“Piececool”商標的商品，Fascinations Inc.實際未履行合同，致使我司在中國領域之外宣傳、推廣、使用“Piececool”商標，銷售“Piececool” 商標的商品成為不可能。

基于上述情況，我司現通知Fascinations Inc.，我司依據《TRADEMARK LICENSE AGREEMENT》2.1款，解除與Fascinations Inc.簽署的《TRADEMARK LICENSE AGREEMENT》，終止對Fascinations Inc.的“Piececool”商標許可使用權。若Fascinations Inc.有需要協商事宜，請及時與我司聯系處理。

Termination Notice for Piececool Trademark License Agreement

To：Fascinations Inc.

Wist Plastic & Metal Technology Ltd. (hereinafter referred to as our company) and Fascinations Inc. signed the “TRADEMARK LICENSE AGREEMENT” on November 20, 2016, which agreed on the use of “Piececool” trademark by Fascinations Inc..

According to the contract, Fascinations Inc. has exclusive and paid rights to use the “Piececool” trademark for worldwide territories, excluding Mainland China. But since the contract was signed, Fascinations Inc. has not purchased any items using “Piececool” trademark from our company. Due to Fascinations Inc. has not fulfilled the agreement, which made us impossible to use and sell “Piececool” trademark items outside Mainland China.

Based on the above, our company is hereby notified to Fascinations Inc. that we terminate to grand the “Piececool” trademark license for Fascinations Inc., accordance with paragraph 2.1 of “TRADEMARK LICENSE AGREEMENT”.

If Fascinations Inc. has any objections or other matters that need to be negotiated, please do not hesitate to contact with us.
